We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

3. User Accounts and Registration

Some features of our Services may require you to create an account. When creating an account, you agree to:

  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account

Specific projects and services may be governed by separate service agreements or contracts. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail for that particular engagement.

All project proposals, quotes, and estimates are valid for 30 days unless otherwise specified. Final pricing and deliverables will be confirmed in writing before project commencement.

5. Payment Terms

Payment terms for our services are as follows:

  • Payment schedules will be outlined in individual service agreements
  • Unless otherwise agreed, invoices are due within 30 days of issuance
  • Late payments may incur interest at a rate of 1.5% per month
  • We accept payment via bank transfer, credit card, and other approved methods
  • All fees are exclusive of applicable taxes unless stated otherwise

We reserve the right to suspend services for accounts with outstanding balances.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality of our website and Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and compilations, are the exclusive property of Yongji Fushun Technology Co., Ltd. or its licensors and are protected by intellectual property laws.

6.2 Client Work Product

Unless otherwise specified in a service agreement:

  • Upon full payment, clients receive ownership of custom-developed work product
  • We retain ownership of pre-existing tools, frameworks, and methodologies
  • We may retain the right to use general knowledge and skills gained during the project
  • Third-party components remain subject to their respective licenses

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of any service agreement for a period of three (3) years.

Confidential information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was known to the receiving party prior to disclosure
  • Is independently developed by the receiving party
  • Is disclosed with the prior written consent of the disclosing party

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. For software development projects, we provide a warranty period of 90 days from delivery for defect correction.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YONGJI FUSHUN TECHNOLOGY CO., LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use our Services

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Yongji Fushun Technology Co., Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or materials you provide to us

11. Termination

Either party may terminate the service relationship:

  • With 30 days written notice for convenience
  • Immediately upon material breach by the other party
  • Immediately if the other party becomes insolvent or bankrupt

Upon termination, you shall pay for all services rendered up to the termination date. Provisions that by their nature should survive termination shall remain in effect.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or related to these Terms shall be resolved through:

  • Good faith negotiation between the parties
  • If negotiation fails, mediation at a mutually agreed location
  • If mediation fails, arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC)

The arbitration shall take place in Beijing, China, and the language of arbitration shall be Chinese.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Yongji Fushun Technology Co., Ltd. regarding the subject matter hereof and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
